Terms of Service

By accessing, browsing, or using the REVILISE website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

These terms constitute a legally binding agreement between you and OÜ Revilise. If you do not agree to these terms, you must not access or use our website or services.

If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

OÜ Revilise is a registered web design and digital services company based in Tallinn, Estonia. We provide professional digital solutions to businesses and individuals.

OÜ Revilise offers the following professional services: website design and development, e-commerce solutions, website redesigns, branding and UI design, SEO and performance optimisation, website maintenance, and web app development.

The exact scope, deliverables, timeline, and cost of each project are agreed upon in writing before work begins. Service descriptions on our website are for informational purposes only and do not constitute a binding offer.

All projects begin with a formal agreement or proposal that outlines the scope of work, timeline, pricing, and deliverables. Work will not commence until the project scope has been agreed upon in writing, any required deposit has been received, and all necessary materials have been provided by the client.

Verbal agreements are not binding unless confirmed in writing. Email confirmation is accepted as a formal agreement.

All prices are agreed upon before work begins and are stated in the project proposal. Unless otherwise specified, a deposit of 50% of the total project value is required before work commences. The remaining balance is due upon project completion and before final files or website access are handed over.

Invoices are payable within 14 days of issue unless otherwise agreed. All prices are exclusive of VAT unless explicitly stated. Ongoing services such as maintenance or SEO are billed monthly or as agreed.

We reserve the right to update our pricing at any time. Existing agreed projects will not be affected by price changes.

Upon receipt of full and final payment, the client receives full ownership of all custom design and code created specifically for their project, including website design files, custom written code, and branding materials created as part of the project.

Until full payment is received, all work created by OÜ Revilise remains our intellectual property. The following are not included in the transfer of ownership: third-party fonts, stock images, icons, or plugins; open-source frameworks or libraries; and any tools, templates, or proprietary processes used internally by OÜ Revilise.

All images, logos, and visual content on Revilise websites are protected by copyright law. Unauthorized use, reproduction, or distribution of any visual content for commercial purposes without the prior written consent of OÜ Revilise is strictly prohibited. Any violation of these rights may result in legal action.

To ensure a smooth and timely project, the client agrees to provide all required content, materials, and information in a timely manner, and to respond to questions, feedback requests, and approvals within a reasonable timeframe — typically within 5 business days.

The client is responsible for ensuring that all content provided does not infringe on any third-party copyright, trademark, or other rights, and for obtaining all necessary permissions and licences for any content supplied to us.

OÜ Revilise is not liable for any delays caused by the client's failure to provide required information or approvals on time.

Each project includes a defined number of revision rounds as stated in the project proposal. Revisions are understood to be reasonable adjustments within the agreed scope — not fundamental redesigns or entirely new features.

Revision requests outside the agreed scope or number may be subject to additional charges. All revision requests must be submitted in writing via email. Once a stage has been approved by the client, revisiting it may incur additional cost.

Estimated timelines are provided in good faith and depend on the timely receipt of all required materials and client feedback. OÜ Revilise will make every reasonable effort to meet agreed deadlines.

However, OÜ Revilise is not liable for delays caused by late delivery of content by the client, delayed approvals, unforeseen technical issues outside our control, third-party service outages, or force majeure events.

If a client causes a project to be delayed for more than 60 days due to non-responsiveness, OÜ Revilise reserves the right to invoice for work completed to date and close the project.

OÜ Revilise warrants that all work is performed with professional care and skill. We will resolve any defects caused by our error at no additional charge within 30 days of project delivery.

OÜ Revilise does not guarantee specific search engine rankings or SEO results, a specific number of website visitors or conversions, or the uninterrupted operation of third-party platforms and hosting services.

Either party may terminate a project agreement with written notice. In the event of termination, the client is liable for payment of all work completed up to the date of termination. The deposit paid is non-refundable if the project is cancelled by the client after work has commenced.

OÜ Revilise will deliver all completed files upon receipt of final payment for work done. We reserve the right to terminate any project immediately if the client requests content or functionality that is illegal, unethical, or in violation of these terms.

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Estonia. Any disputes arising from these terms or from the services provided by OÜ Revilise shall be subject to the exclusive jurisdiction of the courts of Estonia.

For international clients, Estonian law and the EU's consumer and business protection frameworks apply to all our commercial relationships.

OÜ Revilise reserves the right to update these Terms of Service at any time. When changes are made, the "Last updated" date at the top of this page will be revised.

For existing clients with active projects, significant changes will be communicated via email. Continued use of our services after any changes constitutes acceptance of the updated terms.
